Terms & Conditions
ShiftPaye Terms & Conditions
Please read these terms carefully before registering for, accessing or using the ShiftPaye workforce management platform.
Publication checklist: Replace all placeholders, confirm the subscription and cancellation terms, and have this document reviewed for your business and applicable Canadian laws before publishing.
1. About These Terms
These Terms and Conditions ("Terms") govern access to and use of ShiftPaye, including the ShiftPaye website, account dashboards and workforce management features (collectively, the "Service").
"ShiftPaye", "we", "our" and "us" refer to [Insert full legal business name], operating the ShiftPaye service.
"Customer" means a business or other organization that registers for or subscribes to the Service. "User" means a person authorized to access the Service, including a company administrator, supervisor, accountant or employee.
By creating an account or using the Service, you agree to these Terms to the extent permitted by applicable law. If you use ShiftPaye on behalf of an organization, you confirm that you are authorized to act for that organization.
2. Eligibility and Business Accounts
Customers must provide accurate registration and company information and keep that information reasonably up to date. You must have authority to accept these Terms for any organization you register on behalf of.
You must use the Service only for lawful purposes and in accordance with your organization's rights, responsibilities and applicable employment and privacy laws.
You must not create an account using false information, impersonate another person or misrepresent your authority to manage a company account.
3. Company Approval and Account Access
Company registration may require review or approval by ShiftPaye. Registration does not necessarily mean that a company account or every feature will become available immediately.
Access may depend on account status, subscription status, applicable plan limits and assigned permissions. Where an account is pending approval, access may be restricted to the features made available for that status.
We will administer approval and access restrictions in accordance with applicable law and any commitments made to the Customer.
4. Service Features
Depending on the account, plan and features enabled, ShiftPaye may provide tools for:
- Employee and company account management.
- Employee shift scheduling and schedule administration.
- Timesheet and work-hour management.
- Leave requests and leave status management.
- Role-based dashboards and permissions.
- Reports and available data exports.
- Subscription administration and payment-related workflows.
- Payroll-related workflows and employee tax profile information where available.
Features may vary by plan, role, configuration and development status. We will not represent a feature as available to a Customer unless it is included in the applicable offering or otherwise agreed.
We may make reasonable updates to the Service. Where a change materially affects a paid service or a Customer's contractual rights, we will handle it in accordance with the applicable agreement and law.
5. Subscription Plans, Pricing and Payment
Some features may require a paid subscription. The applicable plan, billing period, price, currency, taxes, payment schedule and any applicable limits will be shown during the purchase process or in the relevant subscription agreement.
Unless the applicable offer states otherwise, prices displayed for Canadian customers will be identified in Canadian dollars (CAD). Applicable taxes and any other charges will be disclosed as required by law.
Customers must follow the payment instructions provided for their subscription. Where payment is made by bank transfer, Customers should provide only the transaction information reasonably required to identify and verify the payment.
A payment may remain pending until it has been received and verified. Subscription activation, plan dates and access may depend on the approval process described in the applicable plan or payment instructions.
Do not assume that submitting payment details alone activates a subscription. Review the account dashboard or official confirmation for the applicable status.
6. Renewals, Cancellation and Refunds
The billing period, renewal method and any automatic renewal terms must be disclosed before purchase. A subscription will renew automatically only where the applicable offer and checkout process clearly provide for that renewal and it is permitted by applicable law.
Customers may request cancellation using the method specified in their account or subscription instructions. The effective cancellation date, access to paid features and any refund entitlement depend on the applicable subscription terms and legal requirements.
Refund policy: [Insert your actual refund policy, including whether unused subscription time is refundable, how to request a refund and any applicable exceptions.]
Nothing in these Terms removes a cancellation, refund or other right that cannot legally be excluded or restricted. Where mandatory law provides a right to cancel or receive a refund, that law takes precedence over an inconsistent term.
7. Customer Responsibilities
Customers are responsible for:
- Providing accurate company and account information.
- Ensuring that authorized users have appropriate access.
- Maintaining appropriate internal procedures for schedules, timesheets and leave records.
- Reviewing records and correcting inaccurate entries.
- Complying with applicable employment, wage, working-time, tax and recordkeeping obligations.
- Providing required privacy notices and obtaining any legally required consent or authorization for employee information entered into the Service.
- Ensuring that the Customer has the right to upload, use and manage information entered into ShiftPaye.
- Maintaining appropriate copies of records where required for business continuity or legal compliance.
ShiftPaye provides software tools. Customers remain responsible for their own business decisions and for verifying records used for employment, accounting, payroll or regulatory purposes.
8. User Accounts and Security
Each User must keep their login credentials confidential, use appropriate account security practices and promptly report suspected unauthorized access.
Customers must not share accounts in a way that bypasses role-based access controls or allows unauthorized individuals to access employee or company information.
Customers should notify ShiftPaye through the designated support channel if they suspect that an account has been compromised. We may take reasonable steps to investigate security concerns and protect the Service, consistent with applicable law and contractual obligations.
9. Acceptable Use
You must not:
- Use the Service for unlawful, fraudulent or deceptive activities.
- Attempt to gain unauthorized access to another account, company or system.
- Interfere with the operation, security or availability of the Service.
- Upload malicious code or intentionally compromise platform security.
- Copy, resell or exploit the Service except as permitted by law or written agreement.
- Use the Service to infringe another person's intellectual property or privacy rights.
- Attempt to bypass subscription restrictions, user limits or access permissions.
- Use ShiftPaye in a way that violates applicable laws or another party's rights.
10. Employee Information and Privacy
Customers may enter employee information, schedules, timesheets, leave records and other employment-related information into ShiftPaye. Customers must ensure that their collection and use of that information complies with applicable privacy laws.
ShiftPaye's handling of personal information is described in our Privacy Policy. Customers should review that policy and their own obligations before uploading personal information.
Customers must not upload information they have no lawful authority to provide. Sensitive information should only be entered where necessary for a supported feature and handled in accordance with applicable safeguards and legal requirements.
11. Payroll, Tax and Employment Responsibilities
ShiftPaye may provide timesheet, scheduling, payroll-related workflow and employee tax profile tools. These features should not be interpreted as a guarantee that every payroll calculation, deduction, tax filing, remittance or employment obligation is automated or completed by ShiftPaye.
Unless a specific feature and service agreement expressly state otherwise, Customers remain responsible for reviewing work-hour records, verifying payroll inputs and outputs, applying the appropriate employment rules and meeting applicable Canadian federal and provincial tax and payroll obligations.
Customers should obtain qualified professional advice where necessary. ShiftPaye is not a substitute for legal, accounting, payroll or tax advice.
12. Reports, Timesheets and Data Accuracy
The Service may display or export information entered by Customers and Users. Customers are responsible for reviewing that information for accuracy and completeness before relying on it for payroll, accounting, employment decisions or legal recordkeeping.
Customers should retain records in accordance with applicable laws and their own retention policies. They should not rely on ShiftPaye as the sole repository for records that must be preserved independently.
13. Intellectual Property
Subject to applicable law and any separate agreement, ShiftPaye and its licensors retain rights in the Service, including its software, design, branding, documentation and associated intellectual property.
We grant Customers a limited, non-exclusive, non-transferable right to use the Service during the applicable subscription period for their authorized internal business purposes, subject to these Terms.
Customers retain their rights in information and materials they lawfully provide to the Service. Customers authorize us to process that information as reasonably necessary to provide, maintain and support the Service, subject to the Privacy Policy and applicable law.
14. Third-Party Services
The Service may rely on third-party hosting, communications, payment or other infrastructure. Third-party services may be subject to separate terms and privacy policies.
We will not claim that a particular third-party provider is used unless it is actually part of the Service. Where third-party terms apply directly to a Customer, the Customer is responsible for reviewing those terms.
15. Availability, Maintenance and Changes
We aim to maintain a useful and reliable service, but uninterrupted availability cannot be guaranteed. Access may occasionally be affected by maintenance, updates, technical problems, internet connectivity, third-party outages or events outside our reasonable control.
We will take reasonable steps appropriate to the circumstances to address material service issues. Any specific uptime commitment or service credit applies only if stated in a separate agreement or published service-level commitment.
16. Suspension and Termination
We may restrict or suspend access where reasonably necessary to address suspected unauthorized access, security risks, unlawful activity, material violations of these Terms or unpaid subscription amounts, subject to applicable law and contractual obligations.
Where appropriate and legally permitted, we will provide notice and a reasonable opportunity to address the issue. Immediate action may be necessary to protect users, information or the Service.
Customers may terminate their subscription in accordance with the applicable cancellation terms. After termination, access may end and information may be retained or deleted according to the Privacy Policy, applicable agreements and legal requirements.
17. Disclaimers
To the extent permitted by applicable law, the Service is provided according to its documented features and the applicable subscription agreement. We do not guarantee that the Service will be error-free, uninterrupted or suitable for every particular business requirement.
Nothing in these Terms excludes a warranty, condition, representation or right that cannot legally be excluded. Any disclaimer is subject to applicable consumer protection laws and other mandatory legal requirements.
18. Limitation of Liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses arising from use of the Service where those losses may lawfully be excluded.
Any other limitation of liability, including a monetary cap, must be set out in a separately reviewed and clearly disclosed term that is appropriate to the Service and the applicable customer relationship.
Nothing in these Terms limits liability or remedies to the extent that such limitation is prohibited by applicable law.
19. Indemnity
To the extent permitted by applicable law, a Customer may be responsible for third-party claims arising from its unlawful use of the Service, its violation of another person's rights or its material breach of these Terms.
Any indemnity will be interpreted subject to applicable law and will not remove rights or remedies that cannot legally be excluded.
20. Changes to These Terms
We may update these Terms to reflect changes in the Service, our business or legal requirements. We will publish the revised version with an updated date and provide any additional notice required by law or the applicable agreement.
Where a change requires consent, we will obtain that consent as required. Changes will not override mandatory legal rights or retroactively remove rights where doing so is prohibited.
21. Governing Law and Disputes
These Terms are subject to the laws applicable to the relationship between ShiftPaye and the Customer, together with applicable federal laws of Canada.
If ShiftPaye's operating business is based in British Columbia, the final version may specify British Columbia law and the appropriate courts, subject to mandatory rules that apply to the Customer or transaction.
The parties are encouraged to try to resolve disputes through good-faith communication. Nothing in these Terms removes a right to bring a claim, access a tribunal or court, or use another remedy where required or protected by law.
22. General Provisions
If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision does not automatically waive the right to enforce it later.
These Terms and any applicable subscription agreement form the agreement governing use of the Service, subject to any mandatory legal requirements and any other agreement expressly accepted by the parties.
